The IRSplus mobile message service (the "Service") is operated by “IRSplus”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to IRSplus’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of IRSplus through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders). You agree to bear any risk related to a third party’s use of your device, or disclosure arising out of unauthorized viewing of your device in any public forum.

These Terms and Conditions and the terms set forth in the Client Agreement (the “Terms”) are a binding contract between your Company and Sunrise Business Solutions, LLC d/b/a IRSplus (“Sunrise Business Solutions”). As used in these Terms, “we”, “us”, “our”, or “the Company” also refers to Sunrise Business Solutions.

You must agree to and accept all of the Terms, or you do not have the right to use the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in our Privacy Policy, and any other terms and conditions that Sunrise Business Solutions may reference or incorporate into these Terms from time to time.

You acknowledge and agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Sunrise Business Solutions, and that it supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of these Terms including any statements or promises made by our agents or representatives. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Sunrise Business Solutions, and you do not have any authority of any kind to bind Sunrise Business Solutions in any respect whatsoever and no agent, representative or employee of Sunrise Business Solutions made any oral guaranty to you.

This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. Confidential Information shall not include information that, at the time of disclosure: (i) is or becomes generally available to and known by the public other than as a result of, directly or indirectly, any breach of this Confidentiality provisions by Sunrise Business Solutions or any of its Representatives; (ii) is or becomes available to Sunrise Business Solutions on a non-confidential basis from a third-party source, provided that such third party is not and was not prohibited from disclosing such Confidential Information; (iii) was known by or in the possession of Sunrise Business Solutions before being disclosed by or on behalf of the your Company; (iv) was or is independently developed by Sunrise Business Solutions without reference to or use, in whole or in part, of any of your Company’s Confidential Information; or (v) is required to be disclosed under applicable federal, state or local law, regulation, or a valid order issued by a court or governmental agency of competent jurisdiction.

In order for Sunrise Business Solutions and its subcontractors to conduct their review and determination of qualification for various State and Federal tax credits, certain information will be made available to Sunrise Business Solutions, its field consultants and subcontractors, which may include Payroll Tax Returns, State and Federal Income Tax Returns and other supplementary information. As your Company has agreed to furnish these confidential records, Sunrise Business Solutions and its agents, agree to hold confidential or proprietary information in trust and confidence and agrees that it shall be used only for the contemplated purposes necessary. Should a Consulting Agreement be signed by the two parties, Sunrise Business Solutions will make third-party disclosures to the State Taxing Authority and/ or Internal Revenue Service for the purpose of securing tax credits and/or refunds for the Client. This confidential information will not be shared or disclosed to any other third party, except the employees/associates of who have a need to know.

These Terms and Conditions will also govern all communications between the parties, including fax and email. Client gives referring field consultant permission, as a conduit to Sunrise Business Solutions and subcontractors of Sunrise Business Solutions, to receive and deliver the completed documents.

Trademarks

The trademarks, logos, and service marks (collectively the “Trademarks”) displayed on the Website are registered and unregistered Trademarks of the administrator(s) of the Website and others. Nothing contained on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Website without our written permission or the permission of such third party that may own the Trademarks displayed on the Website.

Client Referrals

If you make a referral of Sunrise Business Solutions to another party, Sunrise Business Solutions we reward you with a gift of $50, or in the event that the SETC for the referred party is less than $1,500, then 10% of the fee received by Sunrise Business Solutions. This gift is subject to the following conditions; (1) retention of Sunrise Business Solutions by the referred parties, (2) the receipt by the referred party of a SETC and (3) the use of PayPal check out by referred party. Please note that this gift, if all conditions have been met, shall be remitted through the PayPal account associated with the email of your account.

Reliance on Information Posted
